Before Terminating a Contract: Check Notice and Cure

Stopping work or ending an agreement can create consequences of its own. Review the contractual exit process before treating the other side’s conduct as permission to walk away.

Identify the termination basis

The agreement may distinguish termination for cause, convenience, nonpayment or a particular event. Determine what facts support the proposed basis. A general feeling that the relationship is failing is different from satisfying a specific termination condition.

Follow the required process

Review who must receive notice, how it is delivered, what it must say and whether a cure period applies. Keep evidence of delivery. A premature or defective termination can complicate an otherwise legitimate complaint.

Plan the transition

Address unpaid amounts, work in progress, property, data, confidentiality and continuing obligations. Some terms survive termination. Have counsel evaluate disputed rights before withholding property, shutting off essential access or taking other self-help steps.
