A Useful Demand Letter: Facts, Support and a Concrete Request

A demand letter should help the recipient understand the dispute and the requested resolution. More aggressive language is not necessarily more effective.

State a supported position

Identify the parties, relevant agreement, key events and alleged failure. Use dates and documents where possible. Distinguish established facts from disputed allegations and avoid claims that exceed the available record.

Make the request practical

Specify the action sought, amount if applicable, method of response and a reasonable proposed response date. The letter should explain what would resolve the issue. If the contract requires notice to a particular person or address, follow those provisions carefully.

Keep deadlines separate

A demand’s response date is not necessarily the legal limitation period or a court deadline. Have counsel assess the applicable deadline before waiting. Preserve proof of transmission and responses; do not assume silence is an admission or that a settlement label automatically protects every communication.
